terms of service

Before starting a project, we need to make sure we are on the same page so there aren't misunderstandings and to protect against fraud, so please take some time to read through these terms! Thank you.This Terms of Service Agreement ("Agreement") is entered into between the Artist and the Client for the commission of an artwork ("Work"). By commissioning the Artist, the Client agrees to the following terms:

If you, the client, did not read my terms of services, I will not be held responsible for your misconception.

1. Generala. Artist commissions are for personal use only unless discussed before payment. Do not use Work or any of my art for commercial purposes.b. Client must inform Artist on where they are planning to use the commission before ordering.c. Artist has separate prices for "Streamers" who gets income from livestreaming (youtube, twitch etc) and "Commercial" prices who uses Work or makes physical items with Work to sell for money (stickers, charms etc)
Refer to Section 3.c. for streamer rights and 3.d. for commercial rights.d. Prices are subject to change based on demand.e. Artist is allowed to take breaks, do personal drawings, have leisure time etc between Clients Work. Any event that would delay the delivery time will be informed to Client.
Refer to Section 5 for more infof. Artist does not allow copying, tracing, reposting Work or any of my art and designs or claiming as yours.g. Any pose, design, assets etc that is not used in the finished work may be used in other future projects.2. Engagementa. Client provides clear and complete requirements and expectations upfront, including reference materials or assets before Work begins. If Client does not have a visual reference of the character they are commissioning (only text, description etc) there will be a design fee.b. Client grants to the Artist non-exclusive rights to observe and replicate Client’s own character design, reference material and other intellectual property for the use of the Work.c. Client warrants that the character design, reference material and other intellectual property provided to the Artist are legally obtained and authorised for use by the Client.d. Client warrants that they have the authority to enter this agreement, be the point of contact and is solely responsible for decisions and approval during the process.e. Client are responsible for saving the Work after the order is completed. Lost files may or may not be retrievedf. Artist strives to perform to the best of their ability in good faith and warrants Work is 100% original according to Artist’s best knowledge.g. Artist may use commercially licensed, copyright-free and/or educational materials, assets and/or tools.h. Artist warrants that they will not copy or heavily reference unauthorized materials.i. Artist reserves the right to refuse projects or requests based on content, subject, or other reasons.About AI and NFTs
- Usage of Work for AI (artificial intelligence) tools, platforms or programs; ML (machine learning) tools, platforms or programs; AI or ML training; NFT; blockchain; or other for-profit platforms/purposes, is strictly prohibited.- My art are not and will not be allowed to use for NFT, AI or Machine Training purposes.

3. Copyrights and Usagea. Artists Rightsi. The Artist retains copyright, ownership, redistribution and intellectual property rights, which includes but is not limited to display, advertising, printing, the Work and work in progress on websites, social media, portfolios, public broadcast channels (i.e. Twitch) and more.ii. Artist will not profit further from the commissioned Work like making and selling merch, monetizing or reselling rights.b. Client Rightsi. Clients receive exclusive, non-transferable usage rights to the Work for personal use. Refer to Section 3.c. for streamer rights and 3.d. for commercial rights.ii. Personal use means: display on social media accounts for promotional purposes with no direct monetization, such as profile pictures, banners, and posts; print and framing in personal spaces; display as part of designs on websites and channels, excluding use in content of these websites or channels.iii. The Client may make merchandise for Personal Use only. No selling items made with my Work unless bought as commercial.iv.Commissioned or received work should not be used for anything other than the purpose it was generally intended for and agreed upon. (if plans change or major adjustments may be needed, please let me know)v. Client must not claim Work as their own and must credit Artist using their social tag/username/link at the instance of display of the Work or permanently on their websites, social media profiles, broadcast channels and so on.vi. Client must not edit or modify Work in any way without prior permission from the Artist. (retouching, changing colors, rigging in live2d etc)c. Streamer Rightsi. Streamer usage rights are not included unless specified in the commission type or listing on the Artist’s websites (i.e. vtuber models, stream overlays, emotes, and so forth) or as agreed upon.ii. Streamer rights means usage of Work on streams, videos and other content, or any monetized instances.iii. In the case of design work for the definition of the Client's brand identity such as character design, logo design, and more, refer to Section 3.d. for commercial rights.iv. Additional charges will be required for Streamer usage if not included, typically 1.5x+ of the original cost.d. Commercial Rightsi. Commercial usage rights are not included in the commission type or listing on the Artist’s websites unless specified agreed upon.ii. Commercial rights means usage of Work of monetized instances, selling or reselling Work to another party, as a part of any product (merchandise etc), or on another platform.iii. In the case of design work for the definition of the Client's brand identity such as character design, logo design, and more, intellectual property rights of the designs and their likeness are exclusively granted to the Client for use, production and modification purposes, commercial or personal. (Please clarify in further detail for each type of work if necessary)iv. Additional charges will be required for commercial usage if not included, typically 2x+ of the original cost.4. Edit and Creditsa. Client may not copy, trace over, repost the Work, or claim it as theirs.b. No one other than Artist can edit or rework the Work in any way unless discussed.c. Artist do not allow edits, revises, "fixes" or malicious modifications of the Work.d. Do not crop or remove Artist watermark out of the Work and if possible link back to the Artist's account if sharing off site.

5. Timeline and Processa. Work completion requires 2 weeks minimum, and may take up to 7 months depending on each project.b. Timeline depends on commission type, complexity, and workload.c. Artist provides progress updates and seeks Client feedback voluntarily.d. Client can ask for updates on Work with a 1 week interval.e. Clients must first agree to delays and amendments to timeline exceeding 2 months through standard communication channels.f. Clients have the right to request refunds 2 months after deadlines if Work has not been delivered and there was no agreed upon amendment to the timeline.6. Deliverya. The finished product is a digital file and does not require shipping.b. Final deliverables are provided by the Artist using the recent contact DMs, Google Drive or similar file transfer tools or Email if requested. Artist will not be providing PSD files if not necessary.7. Revisionsa. Client can ask for one major revisions during the sketch phase.b. After line art, only minor revisions are allowed.c. Additional charges for excessive revisions may be required.d. Revisions may affect progress and timeline.8. Communicationa. Ongoing communication and discussion will occur throughout the project, including work in progress, idea generation and collaboration, situational updates, and more.b. Communication channels may include Discord dms, tickets in Artist Discord Server, instagram dms or Email according to Artist discretion. (discord server tickets preferred)c. Artist response time may vary, up to one week in order to provide better or more concrete updates.

9. Payment and Feesa. All payments must be made upfront -in Paypal USD$ or ko-fi commission page.b. In the case of projects above $150, Client pays 50% downpayment and the final 50% is due at first complete preview of the final deliverables.c. Invoices, or payment link will be sent to the Client when Artist is ready to begin work. Clients must not send money before these requests for payment from the Artist.d. Invoices must be paid within 72 hours, or the project may be cancelled.e. Prices are in USD, and paid via PayPal, ko-fi commission page or methods as provided by the Artist.f. Prices may vary or change depending on complexity, requirements and/or additional requests.g. Once Work has begun or payments have been made, the Client acknowledges Work and deliverables are digital and there are no physically shipped goods to receive.h. Client warrants they will not issue chargebacks and the refund policy mentioned below will be followed.10. Cancellation and Refundsa. No refunds are possible after work begins unless initiated by the Artist.b. If Client requests cancellation, 50% of project fees may be forfeit if cancelled within 2 days before work starts.c. If Artist cannot complete work or there are delays as detailed in Section 3 for unforeseen reasons, the Client may be eligible for a full refund. If work done up to this point is accepted and used by the Client, the Artist will provide a partial refund only.d. Client can only request a full refund if Artist have not worked on Work after two months since payment.e. If Artist have completed and delivered Work, Client cannot request a refund.f. All donations/tips sent through ko-fi or Paypal are not refundable

11. Confidentialitya. The Artist and Client acknowledges that information and materials that are provided to either party (including but not limited to personal information, technical information, marketing plans, payment information, or sensitive business information) outside of the development of Work, that will not be visible to the public, shall be considered confidential information and shall not be disclosed to any other party without prior written permission from the owner of this confidential information.b. Artist may stream and post wip progress while doing Work. If Client wants to keep Work private, inform Artist before ordering. There is an additional fee for private commissions.12. Indemnificationa. Client indemnifies Artist against claims, losses, damages, and expenses related to Work usage by the Client, breach by the Client of the Agreement, or third-party claims.b. If Client's rights are violated or the Work is not delivered as agreed, Artist will work to remedy the situation first.ACCEPTANCEa. Client is 18+ and legally able to commit to an agreement or has a legal guardian to make this agreement on their behalf.b.
